Optum Health's second-quarter revenue fell 5% to $23.47 billion while its earnings from operations rose to $1.19 billion from $429 million a year earlier, lifting the segment's operating margin to 5.1% from 1.7% (UnitedHealth Group Form 8-K, July 2026). On September 9 UnitedHealth sold the private equity firm TPG an interest in the Florida WellMed senior clinics that sit inside that segment.
Hours later the company reaffirmed full-year adjusted earnings of $19.50 to $20.00 a share. The transaction hands an outside owner a claim on care-delivery surplus without moving a dollar of the capitation that funds it.

What Changed Hands in Florida
UnitedHealth sold an interest in the clinics, kept the business inside Optum Health, and disclosed no price. DeVeydt put the rationale on operating grounds: "We didn't need the dollars, we have the dollars to invest, but we needed the focus and somebody that could actually work with us locally" (Insurance Journal, September 2026). Optum Health CEO Krista Nelson framed TPG as a partner brought in to fund further investment in the market.
The underlying asset is substantial. Optum and WellMed serve more than 240,000 patients at close to 600 locations across central and southern Florida (Optum), and the company is opening roughly 15 new Florida clinics a year. TPG is the same buyer that took Optum UK earlier in 2026, a sale that generated $400 million for the United Health Foundation.
The figure the transaction attaches itself to is the margin path DeVeydt laid out at the Wells Fargo healthcare conference that same morning: roughly 2% for Optum Health this year, 4% in 2027 and 6% in 2028. The 2% is a full-year number, and the second quarter already printed 5.1%, so the guidance implies the other three quarters average near breakeven.
Run the 2028 target against the current base and the ratio turns into a dollar figure. Annualising second-quarter revenue gives a segment near $94 billion; 6% of that is roughly $5.6 billion of operating earnings, against $1.19 billion in the latest quarter. The Florida clinics are one of the pieces expected to carry that climb, and TPG now owns part of the climb.
Where a Delegated Member's Margin Gets Booked
Under global capitation UnitedHealthcare pays a delegated primary care group a fixed monthly amount, generally a share of the member's Part C revenue, to take full risk for that member's care. UnitedHealth's quarterly report describes Optum Health's compensation from UnitedHealthcare in those terms: capitated and risk-based arrangements settled against cost and quality performance (UnitedHealth Group Form 10-Q, August 2026).
That arrangement splits one member across two income statements. The capitation UnitedHealthcare pays is medical expense on its own books, landing inside the 86.7% medical care ratio it reported for the quarter, improved from 89.4% a year earlier. The identical payment is revenue at Optum Health, and whatever the clinics spend below it becomes care-delivery margin.
The scale of that internal leg shows up in the segment note. Of Optum Health's $23.47 billion in second-quarter revenue, $14.35 billion came from affiliated customers, against $8.88 billion from unaffiliated customers and $240 million of investment and other income.
A partial sale reassigns a share of the second income statement and leaves the first alone. The capitation rate is a contract between two UnitedHealth subsidiaries, and TPG's arrival does not reprice it. UnitedHealthcare's benefit ratio in the fourth quarter will read the same whether TPG holds a fifth of the Florida clinics or half of them, which is why the deal stays invisible in the metric analysts use to judge Medicare Advantage performance.

The reserving consequence sits on the same seam. UnitedHealth carried $38.9 billion of medical costs payable at June 30. Capitation to a delegated group is paid, not estimated: the incurred-but-not-reported liability for those members' primary and much of their specialty care sits with the risk-taking clinic, and the plan's own reserve narrows toward carve-outs and out-of-network residual. Delegating members trades reserve uncertainty for counterparty exposure.
The same two-line structure runs across every vertically integrated Medicare Advantage carrier, and it is why a benefit ratio and a care-delivery margin can move in opposite directions in one quarter on one population. The site's reading of the second-quarter MLR divergence between UnitedHealth and Elevance traced the same split, and the V28 risk-score compression now squeezing the revenue side of it lands on both lines at once.
The Undisclosed Term That Decides the Accounting
Terms were withheld, and the withheld term that matters most is the ownership percentage. That share decides whether the Florida clinics keep consolidating into UnitedHealth's financial statements, and the two outcomes look nothing alike in segment reporting.
If UnitedHealth retains control, the clinics stay consolidated. Optum Health's revenue and operating margin are reported in full, and TPG's economics surface as a noncontrolling interest below the operating line. The 6% target for 2028 would still be reported at 6%, with a slice of the dollars behind it belonging to someone outside the group.
If control passes, the Florida clinic revenue leaves the segment. The capitation UnitedHealthcare pays becomes a third-party medical cost rather than an intercompany one, the affiliated share of Optum Health revenue falls from three fifths toward something smaller, and reported segment revenue drops without a single patient changing doctors. The segment has already demonstrated how quickly that denominator moves.
Underneath both branches sits the return TPG has to earn. The firm raised $16 billion in the second quarter alone and reported $327 billion of assets under management, up 25% year over year, with Healthcare Partners III among the funds still closing (TPG, August 2026). Capital raised on those terms carries a hurdle, and the only source of surplus at a Florida WellMed clinic is the capitation UnitedHealthcare sends it.
That sets a floor under the intercompany rate at the moment UnitedHealthcare is bidding to land in the upper half of a 2% to 4% Medicare Advantage margin band for 2027 (Healthcare Dive, September 2026), on benchmarks CMS raised a net 2.48% for the year (CMS, April 2026). Inside one company, where the line fell between plan margin and clinic margin was a management choice with no cash consequence. In Florida it is now a price, negotiated with a counterparty that has a fund-level return to defend, and one capitation has to clear that hurdle and still leave the plan inside its margin band.
